Algotell – Terms of Service & End User License Agreement (EULA)

This Terms of Service cum End User License Agreement (“Agreement” or “EULA”) is an electronic record in accordance with the Information Technology Act, 2000, its applicable rules, and amendments.
This document is generated electronically and does not require any physical or digital signatures.
This Agreement is a legal contract between Algorithus Pvt. Ltd. (“Algorithus”, “Licensor”, “We”, or “Us”), having its registered office at
647B/H-49, Jankipuram Garden, Jankipuram, Lucknow, Uttar Pradesh – 226021, and You (“Customer”, “Client”, or “User”) concerning the
Algotell Telecalling CRM software (“Algotell Software”), including associated applications, components, media, and documentation.
By subscribing, installing, accessing, or using Algotell Software, you acknowledge and agree to be bound by this Agreement.
If you do not agree with these terms, you must not subscribe, install, or use Algotell Software.
The Algotell Software is licensed, not sold, and is protected by copyright, intellectual property, and international treaties.
1. Grant of License
Subject to compliance with this Agreement, Algorithus grants you a limited, non-exclusive, non-transferable license to use Algotell Software solely for your business operations.
2. License Acceptance
By accepting this Agreement, you confirm that you are legally authorized (individually or on behalf of your organization) to enter into this contract.
3. Trial, Subscription & Payments
- Free trial provided as per Annexure-B.
- Subscription fees and billing terms as per Annexure-C.
- Payments may be made through authorized channels.
- Algorithus reserves the right to suspend or terminate access in case of delayed or non-payment.
4. Refund & Cancellation Policy
- 14-day free trial available.
- Once a paid subscription is activated, no refunds will be issued.
- Disputed chargebacks will be contested as per this Agreement.
5. License Restrictions
- Request or attempt to obtain server root access.
- Modify, reverse engineer, or tamper with Algotell Software.
- Remove or obscure proprietary notices or branding.
- Use the software in violation of Indian cyber laws.
6. Confidentiality & Data Protection
Both parties agree to maintain confidentiality of proprietary and customer data. Algorithus ensures data protection as per IT Act, 2000, and applicable regulations.
7. Ownership
All rights, title, and interest in Algotell Software remain solely with Algorithus. You are granted usage rights only under this Agreement.
8. Term & Termination
- Agreement is valid for subscription term.
- Either party may terminate with 30 days’ notice.
- Access ceases upon termination.
- Backup responsibility lies with the Customer.
9. Support & SLA
Support and maintenance services will be provided as per Annexure-D.
10. Data Security & Warranty
Algorithus follows industry-standard practices. No guarantee is provided for uninterrupted service.
11. Limitation of Liability
Liability limited to the value of the last subscription invoice paid.
12. Governing Law & Dispute Resolution
Governed by laws of India. Jurisdiction: Lucknow. Arbitration under the Arbitration and Conciliation Act, 1996.
13. Miscellaneous
- Force Majeure applies.
- Non-solicitation for 36 months.
- Privacy Policy applies.
- Feedback becomes property of Algorithus.
- Survival of confidentiality and liability clauses.

- Lead Management – Capture and track leads.
- Contact Management – Centralized repository.
- Call Management – Click-to-call, call logs, and statuses.
- Campaign Management – Create, assign, and track campaigns.
- Follow-Up & Reminders – Automated reminders.
- Notes & Tags – Add notes and custom tags.
- Dynamic Filters & Views – Quick filters for contacts.
- Real-Time Dashboard – Track live activities.
- Reports & Analytics – Exportable detailed reports.
- Integrations – API for CRM and third-party tools.
Annexure – B: Trial & Subscription Terms
- 14-day free trial provided.
- Subscription starts from payment confirmation.
- Expiry leads to suspension until renewal.
- CRM data available for 60 days post expiry.
- No refunds after plan activation.
Annexure – C: Pricing & Payment Terms
- Subscription fee based on selected plan.
- Payments via net banking, UPI, cards, or gateways.
- Gateway charges borne by Customer.
- GST compliant invoices issued.
- Non-payment may suspend services.
Annexure – D: Support & SLA
- Support via email and helpdesk.
- Business hours: Mon-Sat, 10 AM to 7 PM IST.
- Critical issues: Response 4 hrs, resolution 24 hrs.
- Major issues: Response 8 hrs, resolution 3 days.
- Minor issues: Response 24 hrs, resolution 7 days.
- Excludes third-party issues or unauthorized modifications.
- Regular upgrades and maintenance included.
